Hercules Affiliate Program Terms of Service
Effective date: July 6, 2026
These terms govern participation in the Hercules Affiliate Program (the "Program"). They are written in plain language on purpose. You accept these terms by checking the agreement box when you apply to the Program. Promoting Hercules with an affiliate link also constitutes acceptance. If you do not agree, do not participate.
In these terms, "Hercules", "we", "us", and "our" refer to Zeus AI Labs, Inc., the operator of hercules.app. "You" and "partner" refer to the person or company participating in the Program.
1. Enrollment
You must be at least 18 years old and legally able to form a binding contract. You must apply and be accepted before promoting Hercules through the Program. We review every application. We may approve or reject any application at our sole discretion, and we do not have to give a reason. Acceptance into the Program does not guarantee any specific commission rate, placement, or payment structure.
You must provide accurate information in your application, including all websites, channels, and accounts you will use to promote Hercules. You must keep this information current. Promoting Hercules through a channel not listed in your partner profile may void commissions from that channel.
You may hold only one partner account. Creating multiple accounts, including to circumvent commission limits or reinstate a terminated account, is prohibited.
You are responsible for anyone who works on your behalf. If your employees, agents, contractors, or sub-affiliates violate these terms, you violate these terms.
2. Payment structures
The Program supports multiple payment structures. Your specific structure is set out in your individual partner agreement or your partner dashboard. Structures may include:
- Revenue share on referred subscriptions, one-time or recurring
- Flat bounty per qualified paid conversion
- Tiered rates based on volume or performance
- Custom arrangements agreed in writing
Your structure applies only to you. Other partners may have different terms, and no partner is entitled to the terms offered to another. We may set maximum commission amounts for your account. We may change your payment structure prospectively with notice. Changes never apply retroactively to commissions already earned.
Regardless of structure, every payout follows the timing rules in Section 3.
3. Payout timing
All payouts follow one schedule, no matter which payment structure you are on.
A commission becomes payable 30 days after we receive the underlying customer payment. This 30-day hold exists to cover refunds and early disputes. If the customer payment is refunded, disputed, or charged back during the hold, the commission is voided. Chargebacks that arrive after the hold are handled under Section 4.
Payable commissions are paid in one batch at the end of the calendar month in which the 30-day hold ends. We process all partner payouts together, on or before the last business day of the month.
Example: a referred customer pays on March 20. The commission clears its hold on April 19. It is paid in the April month-end payout. A customer payment received on March 5 clears on April 4 and is also paid at the end of April.
Additional payout terms:
- Minimum payout balance is $50. Balances below the minimum roll forward to the next month.
- Payouts are made through the payment method specified in your partner dashboard. You are responsible for keeping your payment details accurate. We are not obligated to pay out until you have a valid payment method and completed tax documentation on file.
- All amounts are in USD unless agreed otherwise in writing.
- You are responsible for all taxes on your commissions. We may require a completed tax form (such as a W-9 or W-8) before releasing payment.
- If your account is terminated, Section 13 governs what happens to accrued commissions. When your participation ends in good standing, we pay your final balance even if it is under the $50 minimum.
Payout countries and methods
Payouts are processed through our affiliate platform provider, currently Dub. Payout availability depends on your country. Some countries are supported and others are not. The list of supported countries and available payout methods, such as local bank transfer or stablecoin wallet, is shown in your payout settings and may change over time.
To receive payment, you must connect a payout method supported for your country. Provider fees, including transfer fees and currency conversion fees, are deducted from your payout. Bank payouts must go to an account in your name and in your local currency.
If your country is not supported, commissions still accrue and we will hold your balance until you connect a supported payout method. Partners in unsupported countries may be able to receive payment through a legal entity they own in a supported country. If we cannot legally or practically pay you after a reasonable period, we may end your participation under Section 13. We may change payout providers at any time.
4. Refunds, chargebacks, and reversals
Commissions are earned only on payments Hercules actually keeps. We will reverse or void commissions for:
- Refunded, disputed, or charged-back customer payments
- Cancelled or failed orders and duplicate tracking
- Self-referrals, or purchases made with your own accounts or payment methods
- Fraudulent transactions or stolen payment methods
- Any conversion generated in violation of these terms
If a payment is clawed back after we have already paid you the commission, we may deduct the amount from your future payouts or invoice you for it.
5. Tracking and attribution
Commissions require proper tracking through your assigned affiliate links. Use only the links and tracking codes we provide, without modification. We do not retroactively credit referrals that were not tracked through your links.
Each referral earns one commission. If more than one partner claims the same referral, we decide the attribution at our sole discretion. Customers referred through our own sales team, existing customers, and conversions from our own marketing channels do not qualify for commission unless your partner agreement says otherwise.
Attribution rules, including cookie windows and how competing referrals are credited, are set out in your partner dashboard. The rules in effect at the time of a conversion govern that conversion. We may update the rules prospectively. If we suspect tracked traffic is invalid, we may ask you to explain its source. You must respond honestly and promptly. If you cannot substantiate your traffic, we may reverse the related commissions.
6. Prohibited conduct
The following will get commissions voided and can get you removed from the Program:
Fraud and manipulation
- Self-referrals or referring accounts you control
- Cookie stuffing, forced clicks, or auto-firing tracking links
- Using redirects to hide or misrepresent where a click originated
- Creating fake accounts, fake trials, or fake transactions
- Intercepting or diverting traffic that would otherwise reach Hercules directly
- Software, browser extensions, or toolbars that intercept traffic, inject affiliate tracking, or divert commissions from other partners
Brand and search abuse
- Bidding on "Hercules", "hercules.app", or misspellings of them in any paid search or paid social campaign
- Using our trademarks in your ad copy, display URLs, domain names, or subdomains
- Creating social accounts, pages, or communities that impersonate Hercules or use our name without written approval
- Copying or mirroring the look and feel of hercules.app, or framing our site to appear as your own
Deceptive promotion
- False or misleading claims about Hercules, its pricing, or its capabilities
- Advertising discount codes that we did not issue to you through the Program
- Implying an offer requires clicking your link when it does not
- Spam, unsolicited bulk email, or email that appears to come from Hercules
- Posting affiliate links on Hercules-owned pages, communities, or social accounts
Content standards
- Promoting Hercules alongside content that is defamatory, harassing, hateful, sexually explicit, or otherwise objectionable
- Associating Hercules with political or religious advocacy
- Using deepfakes or fabricated endorsements
Paid advertising campaigns promoting Hercules require our prior written approval. Email campaigns promoting Hercules must be submitted to us for approval before they are sent. Printed or physical promotional materials referencing the Program require our prior written consent.
7. Coupon and sub-affiliate rules
Coupon promotion
If you promote discount codes:
- Only advertise codes we issued to you through the Program. Codes taken from our emails, our paid campaigns, or any other channel do not qualify.
- Display codes in full, with the actual offer and its expiration date.
- Do not use click-to-reveal mechanics or any technology that hides a code and fires your tracking link when it is revealed.
- Do not post instructions for working around an offer's restrictions, such as first-time-customer requirements.
Coupon-focused partners
If your primary business is coupon or deal promotion, or we classify your account as a coupon partner, commissions are payable only on sales that used a valid code we issued to you. Sales without a corresponding valid code do not earn commission. If your site ranks prominently in search results for Hercules coupon terms, or your conversion rate indicates checkout-intercept traffic, we may set a lower commission rate for your account.
Sub-affiliate networks
Promoting Hercules through a sub-affiliate network requires our prior written approval. Networks must be fully transparent about where each sub-affiliate's traffic originates and must ensure every sub-affiliate follows these terms. Coupon sub-affiliates require separate approval before promoting Hercules. Violations by a sub-affiliate may void commissions from that sub-affiliate's traffic.
8. Disclosure and legal compliance
You must comply with all applicable laws and platform rules, including:
- FTC endorsement guidelines. Disclose your affiliate relationship clearly and conspicuously wherever you post affiliate links. The disclosure must appear in the same medium as the promotion and must be visible without scrolling or clicking.
- CAN-SPAM and equivalent email laws in your jurisdiction
- GDPR, CCPA, and other privacy laws for any personal data you collect from your audience. You are the responsible party for your own lists and channels.
- Sanctions and export laws. We may withhold or cancel payouts where payment is prohibited by law.
- The advertising policies of every platform where you promote Hercules
9. Customers belong to Hercules
Customers you refer are Hercules customers, not yours. We set the pricing, terms, and features of our services and may change them at any time. Direct all product and billing questions from referred customers to Hercules support. Do not offer support, guarantees, or commitments on our behalf.
10. Brand assets
While you are an active partner in good standing, we grant you a limited, revocable, non-exclusive license to use the Hercules name and approved brand assets solely to promote Hercules under these terms. This license ends immediately when your participation ends. Do not modify our marks or combine them with your own. It does not permit the uses prohibited in Section 6.
11. Your content
You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and share the content you create promoting Hercules, along with your name and likeness as they appear in that content, for marketing the Program and our services. You may revoke this license for future use by written notice, and we will use commercially reasonable efforts to stop new uses. You keep ownership of your content. If we want to feature your name or likeness in paid advertising, we will get your specific written consent first.
12. Your representations
By participating, you represent that:
- You are legally able to enter this agreement and participate lawfully in your jurisdiction
- The information in your application is accurate
- Your promotional content is your own and does not infringe anyone's rights
- Your participation does not conflict with any other obligation you have
13. Termination and revocation
We may suspend or terminate your participation in the Program at any time, for any reason, with or without notice. This includes, without limitation, violation of these terms, fraudulent or suspicious traffic, conduct that harms the Hercules brand, or discontinuation of the Program.
If we terminate you for fraud, all unpaid commissions are forfeited. If we terminate you for a material violation of these terms, commissions from violating conversions are void, we may withhold your remaining balance while we investigate, and we may claw back commissions already paid on violating conversions. If we terminate for any other reason, your validly earned commissions remain payable: amounts still in the 30-day hold are paid on the normal month-end schedule once they clear.
Unless your individual partner agreement says otherwise, no new commissions accrue after termination. This includes recurring revenue share on customers you referred before termination.
You may leave the Program at any time by written notice. Upon any termination, you must immediately stop using your affiliate links and all Hercules brand assets.
14. Relationship of the parties
You are an independent contractor. Nothing in the Program creates an employment, agency, partnership, or joint venture relationship. You are not entitled to any employee benefits, equity, or compensation beyond your commissions. You may not make commitments on our behalf, and you may not represent yourself as an employee or agent of Hercules.
15. Confidentiality
Non-public information we share with you through the Program, including commission rates, performance data, product roadmap details, and business information, is confidential. Protect it with at least the care you use for your own confidential information. Do not disclose it or use it outside the Program without our written permission, except to employees or advisors who are bound by equivalent confidentiality obligations. This does not apply to information that is publicly available through no fault of yours, that you already knew, that you developed independently, or that you are legally required to disclose. These obligations last three years after your participation ends, and indefinitely for trade secrets.
16. Changes to these terms
We may update these terms at any time by posting the revised version on this page with a new effective date. Material changes will be communicated to active partners with reasonable notice. Continuing to participate after changes take effect means you accept them. Changes do not retroactively reduce commissions already earned.
17. Disclaimers and limitation of liability
The Program is provided "as is". We do not guarantee any level of referrals, conversions, or earnings. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, our total liability to you arising out of the Program is limited to the greater of the commissions paid to you in the twelve months before the claim arose or $500. We are not liable for indirect, incidental, special, punitive, or consequential damages.
18. Indemnification
You will indemnify and hold harmless Zeus AI Labs, Inc. and its officers, directors, and employees from third-party claims, damages, and expenses (including reasonable attorney fees) arising from your breach of these terms, your violation of law, your promotional content, or your websites and channels. You may not settle any such claim without our written consent.
19. Governing law and disputes
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute arising out of the Program will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in San Francisco, California. You and Hercules each waive the right to bring claims as a plaintiff or class member in any class or representative action. This waiver does not apply to claims for public injunctive relief where the law does not permit that waiver. Either party may seek injunctive relief in court for intellectual property misuse or breach of confidentiality. If the arbitration filing fees for your claim exceed what you would pay to file the same claim in court, Hercules will pay the difference. You may opt out of arbitration by emailing affiliates@hercules.app within 30 days of first accepting these terms; if you opt out, neither party is bound to arbitrate.
20. General provisions
- You may not assign this agreement without our written consent. We may assign it in connection with a merger, acquisition, or sale of assets.
- These terms, together with your individual partner agreement, are the entire agreement about the Program and supersede prior discussions. If they conflict, your individual partner agreement controls.
- If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect.
- Sections that by their nature should survive termination (including payment reversals, confidentiality, indemnification, liability limits, and dispute terms) survive.
- Notices under these terms may be given by email: to you at the address in your partner profile, and to us at affiliates@hercules.app.
- Our failure to enforce a provision is not a waiver of it.
